Terms of Use

1. COPYRIGHTS

All content and functionality on the Site, including text, graphics, logos, icons, images, videos, and the selection and arrangement thereof — in addition to any concepts, know-how, tools, frameworks, models, processes, and industry perspectives underlying or embedded in the foregoing, along with any enhancements or derivative works thereof (collectively, the “Site Content”) — is the exclusive property of KB Associates or its licensors and is protected by applicable copyright laws.

Neither the Site Content nor the functionality of the Site may be copied, reproduced, modified, reverse engineered, altered (including the removal or disabling of any security or technological safeguards, disclaimers, or legends), uploaded, published, posted, transmitted, or distributed in any way without our prior written permission, except as specified in Section 3 (Use of Site Content). All rights not expressly granted are reserved.

2. TRADEMARKS

The trademarks, service marks, designs, and logos (collectively, the “Trademarks”) displayed on the Site are the registered and unregistered Trademarks of KB Associates and its licensors. You agree that, except as expressly permitted by us, you will not:

• Refer to or attribute any information to KB Associates in any public medium — including press releases, third-party websites, or public social media — for advertising, promotion, or influence purposes without our prior written consent;
• Use or reproduce the Trademarks in any manner that is likely to cause confusion, take unfair advantage of, or cause detriment to KB Associates or its licensors;
• Use the Trademarks in any way that could imply any endorsement by or relationship with KB Associates, beyond what has been expressly authorized in writing.

3. USE OF SITE CONTENT

KB Associates hereby grants you a limited, non-exclusive, non-transferable, revocable license to access, download, display, and print one copy of the Site Content on any single device solely for your internal, non-commercial use, provided that:

• You do not modify the Site Content in any way, including creating derivative works thereof;
• You retain all copyright and other proprietary notices displayed on the Site Content;
• You otherwise comply fully with these Terms.

You may not otherwise reproduce, modify, reverse engineer, distribute, transmit, post, or disclose the Site Content without KB Associates’ prior written consent. In addition, the following restrictions apply:

1. You may not access, search, scrape, crawl, mine, or otherwise extract data from the Site or Site Content by any means — automated or otherwise — without KB Associates’ express written permission.
2. You may not use the Site or Site Content to develop, train, fine-tune, or otherwise operate any software program, machine learning model, algorithm, artificial intelligence system, or generative AI tool.
3. You may not “mirror” the Site Content or any portion thereof without KB Associates’ express written consent.
4. You may not use the Site in violation of applicable laws, including export controls and sanctions, or in violation of the intellectual property or other proprietary rights of KB Associates or any third party.

Nothing on this Site should be construed as granting, directly or indirectly, or by implication, any license or right to use any KB Associates intellectual property other than as expressly set forth herein. The license granted in this Section terminates automatically and immediately if you do not comply with these Terms. Non-compliance may also result in legal action, suspension of your access to the Site, or such other steps as KB Associates considers appropriate.

4. USER POSTINGS

To the extent that the Site provides any functionality permitting user-generated submissions — including postings, forum contributions, survey responses, or similar materials — you acknowledge and agree that:

• KB Associates shall own and have the unrestricted right to use, publish, and otherwise exploit any and all information you post or publish on the Site;
• By submitting any such content, you automatically grant KB Associates a worldwide, non-exclusive, transferable, assignable, sublicensable, fully paid-up, royalty-free, perpetual, irrevocable license to use, reproduce, publish, distribute, modify, and otherwise exploit such submission for any lawful purpose and in any form or media;
• You hereby waive any claims against KB Associates for any alleged or actual infringement of rights of privacy, publicity, intellectual property, moral rights, or rights of attribution in connection with KB Associates’ use and publication of such submissions.

You agree that you will not post or publish on the Site any content that:

• Is threatening, libelous, defamatory, obscene, or otherwise unlawful;
• Would constitute or encourage conduct that constitutes a criminal offence, gives rise to civil liability, or otherwise violates applicable law;
• Infringes the intellectual property, privacy, or other rights of any third party;
• Contains a computer virus, malware, or any other destructive element;
• Constitutes advertising, commercial solicitation, or spam;
• Contains false or misleading statements of fact;
• Otherwise violates these Terms.

KB Associates does not represent or endorse the accuracy or reliability of any information posted to the Site by users. KB Associates does not review all user-submitted content and is not responsible for such content; however, KB Associates reserves the right to refuse to post or to remove any submission, in whole or in part, for any reason or no reason, at its sole discretion.

5. NOTICES OF INFRINGEMENT AND TAKEDOWN

KB Associates prohibits the posting of any content that infringes or violates the copyright or other intellectual property rights (including rights of privacy and publicity) of any person or entity.

If you believe that your intellectual property right — or a right you are responsible for enforcing — has been infringed by any content on the Site, please contact KB Associates in writing at office@kbassociates.net with a statement that includes all of the following:

• Identification of the copyrighted work or intellectual property right claimed to have been infringed;
• Identification of the allegedly infringing material on the Site and a request for its removal;
• Your full name, address, daytime telephone number, and email address;
• A statement that you have a good faith belief that the use of the material is not authorized by the rights holder, its agent, or applicable law;
• A statement that the information provided in the notice is accurate, and — under penalty of applicable law — that you are authorized to act on behalf of the rights holder;
• Your signature (electronic or physical) or that of an authorized representative.

KB Associates will take appropriate action upon receipt of a valid infringement notice, including removal of the identified content. Submitting false or misleading infringement notices may give rise to legal liability. Parties who repeatedly submit infringing or unlawful material may be prohibited from making further submissions to the Site.

6. DISCLAIMERS

The Site Content and functionality are provided for general informational purposes only. KB Associates is not engaged in rendering professional advice or services through the Site, and no Site Content is intended to constitute or shall be deemed legal, financial, investment, tax, accounting, or other regulated advice. You remain solely responsible for your use of all Site Content, and any reliance upon it is entirely at your own option and risk.

All content and functionality on the Site is provided "as is" and "as available," without warranty of any kind, whether express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose. KB Associates and its content providers make no warranties, express or implied, as to the ownership, accuracy, completeness, or adequacy of the Site Content.

KB Associates shall have no liability or responsibility for any information published on linked third-party websites, contained in any user submissions published on the Site, or provided by third parties. To the maximum extent permitted by applicable law, KB Associates shall not be liable for any indirect, incidental, consequential, special, or punitive damages or losses — including lost revenues or profits — arising from or related to the use of the Site or reliance on the Site Content, whether or not advised of the possibility of such damages and regardless of the theory of liability.

7. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless KB Associates and its predecessors, successors, affiliates, officers, directors, employees, agents, and representatives (collectively, the "KB Associates Indemnified Parties") from and against any and all liabilities, claims, expenses, costs, or losses ("Losses") arising out of or in connection with:

• Your use of or access to the Site;
• Any breach by you of these Terms, including any representations, warranties, or covenants made by agreeing to these Terms;
• Any content you submit, post, or transmit through the Site.

KB Associates reserves the right to assume, at its own expense, the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate fully with KB Associates in asserting any available defenses.

8. THIRD-PARTY WEBSITES AND PROVIDERS

The Site may contain links to third-party websites or integrate third-party content or services. Some content appearing on the Site may be supplied, supported, or provided directly or indirectly by third parties. KB Associates has no responsibility for any third-party websites or content, which are governed by the terms of use and privacy policies of the applicable third-party provider.

The inclusion of any link on the Site does not imply KB Associates' endorsement of the linked site or service. KB Associates encourages you to review the applicable terms and privacy policies of any third-party platforms you access through the Site.

9. GOVERNING LAW AND JURISDICTION

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates, without reference to its conflict of laws principles. Any disputes arising out of or in connection with these Terms or your use of the Site shall be subject to the exclusive jurisdiction of the competent courts of the UAE, unless otherwise required by applicable law.

KB Associates reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement of its intellectual property rights or to address any other breach of these Terms that may cause irreparable harm.

10. GENERAL PROVISIONS

• Entire Agreement: These Terms, together with our Privacy Policy and Cookies & Similar Technologies Policy, constitute the entire agreement between you and KB Associates regarding your use of the Site and supersede all prior agreements or understandings relating to the same subject matter.
• Severability: If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
• No Waiver: KB Associates' failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
• Amendments: KB Associates reserves the right to update or amend these Terms at any time without prior notice. Your continued use of the Site following any amendment constitutes your acceptance of the revised Terms.
